RESERVATION & SERVICE AGREEMENT

This Reservation & Service Agreement (“Agreement”) governs the Frisson Trove Collection identified in the Client’s reservation. It sets forth the services Frisson Trove LLC (“Frisson Trove,” “Company,” “we,” “us,” or “our”) will provide, the information and access the Client will provide, and the terms governing payment, scheduling, placement, and completion.

For purposes of this Agreement, “Client” means the individual or entity purchasing the Collection, whether for its own benefit or for the benefit of a homeowner, recipient, or other third party.

1. YOUR RESERVED COLLECTION

The Client is reserving the Frisson Trove Collection identified in the completed reservation for the property address and placement date provided by the Client.

Each reservation applies to one property and one scheduled placement.

The reserved Collection includes the products, preparation, procurement, coordination, placement, styling, and other services described in the applicable Collection materials at the time of reservation, together with any separately approved enhancements.

Apricity and Halston are curated Collections with defined scopes. Meridia may include additional customization or white-label elements as specifically identified in the reservation or related written communications.

2. WHAT FRISSON TROVE PROVIDES

Frisson Trove will prepare and place the reserved Collection in accordance with the Collection selected by the Client and the property information provided through the reservation process.

Depending on the Collection reserved, services may include:

  • Scheduling and coordination of placement;

  • Procurement and preparation of Collection items;

  • Coordination of fresh seasonal botanicals or florals;

  • Preparation of hospitality and presentation elements;

  • Placement and styling of the Collection within the property;

  • Final quality assurance; and

  • Photographic confirmation of completed placement.

Frisson Trove will perform the reserved services with reasonable care and in accordance with its established presentation standards.

3. RESERVATION & PAYMENT

Payment in full is required to reserve a Collection.

A reservation is confirmed only after Frisson Trove has received:

  • Full payment;

  • All required reservation information; and

  • The Client’s electronic acceptance of this Agreement.

Once the reservation is confirmed, Frisson Trove may begin procurement, preparation, scheduling, and coordination for the reserved Collection.

4. CLOSING DATE & PLACEMENT SCHEDULING

Frisson Trove will request confirmation of the scheduled closing date at approximately:

  • 14 days before the scheduled closing;

  • 7 days before the scheduled closing; and

  • 3 days before the scheduled closing.

The Client shall respond to each confirmation and promptly notify Frisson Trove of any change to the closing date, property access, placement instructions, or other circumstances that may affect performance of the services.

The date confirmed at the three-day confirmation will become the Confirmed Placement Date, unless Frisson Trove and the Client subsequently agree in writing to another date.

If the Client does not respond to a requested confirmation, Frisson Trove may rely on the most recently confirmed date. The Client remains responsible for promptly communicating any change affecting the scheduled placement.

Unless otherwise agreed in writing, placement will occur between 9:00 a.m. and 12:00 p.m. on the Confirmed Placement Date.

A different placement window may be arranged when necessary to accommodate the closing schedule, property requirements, access limitations, or Client needs.

5. CHANGES TO THE CLOSING OR PLACEMENT DATE

Frisson Trove will make reasonable efforts to accommodate changes to the closing or placement date.

Any requested change is subject to scheduling availability and may affect products, fresh botanicals or florals, personalized materials, contractor availability, shipping, or other elements already procured or prepared for the original date.

If a date change results in additional procurement, replacement, shipping, staffing, travel, floral, or preparation costs, Frisson Trove will notify the Client before charging any additional amount.

Frisson Trove does not guarantee availability for a revised placement date.

If a real estate transaction is canceled or otherwise fails to close, the reservation will be treated in accordance with the cancellation provisions of this Agreement.

6. WHAT THE CLIENT PROVIDES

The Client is responsible for providing complete, accurate, and timely information necessary for Frisson Trove to perform the reserved services.

This includes, as applicable:

  • Property address;

  • Closing and placement dates;

  • Property access instructions;

  • Lockbox, smart-lock, key, alarm, gate, or parking information;

  • Homeowner or recipient information;

  • Personalization or white-label information;

  • Known fragrance sensitivities or dietary considerations relevant to the Collection; and

  • Any property condition or restriction that could affect placement.

The Client shall promptly notify Frisson Trove if any information changes.

Frisson Trove is not responsible for errors, delays, or additional costs resulting from inaccurate, incomplete, or untimely information provided by the Client or another party acting on the Client’s behalf.

7. PROPERTY ACCESS & READINESS

The Client authorizes Frisson Trove and its authorized representatives, including independent contractors, to enter the property on the Confirmed Placement Date for the limited purpose of performing the reserved services.

The Client represents that the Client has authority to engage Frisson Trove and has obtained all permissions necessary for Frisson Trove and its authorized representatives to enter the property and perform the services. Frisson Trove may rely upon the Client’s representation of such authority.

The Client is responsible for ensuring that the property is:

  • Lawfully accessible;

  • Sufficiently complete for placement;

  • Safe for Frisson Trove personnel and authorized contractors; and

  • Free from conditions that materially interfere with performance of the services.

The Client shall notify Frisson Trove in advance of any known fragile surfaces, specialty finishes, restricted areas, security concerns, active construction, unsecured animals, or other unusual property conditions that could affect placement.

Frisson Trove may delay, suspend, or discontinue placement if conditions are unsafe or materially interfere with performance.

A delay caused by property conditions, lack of access, or circumstances under the Client’s control does not constitute a failure by Frisson Trove to perform.

8. PRODUCTS, BOTANICALS & SUBSTITUTIONS

Specific products, provisions, vessels, botanicals, florals, packaging, materials, or presentation elements may vary due to seasonality, supplier availability, discontinuation, shipping conditions, or other circumstances outside Frisson Trove’s reasonable control.

Frisson Trove may substitute an item with another item of comparable or greater quality and value while preserving the intended character, overall presentation, and service standard of the reserved Collection.

Fresh botanicals and floral arrangements are inherently variable and individually prepared. No two arrangements are expected to be identical.

Where personalized or white-label elements are included, the Client is responsible for timely approval of names, wording, logos, addresses, branding materials, or other requested information.

Once personalized items have entered production, they may not be refundable or reusable for another property.

9. PLACEMENT, QUALITY ASSURANCE & COMPLETION

Following placement, the Frisson Trove representative completing the service will conduct a final quality-assurance review of the prepared areas.

The review is intended to confirm that:

  • The reserved Collection has been placed;

  • Applicable presentation standards have been met; and

  • The prepared areas are ready for the intended first-arrival experience.

The placement will be considered complete when:

  • The reserved Collection has been placed;

  • The final quality-assurance review has been completed; and

  • Photographic documentation of the completed placement has been captured.

Frisson Trove will provide the Client with photographic confirmation following completion.

Photographs taken for this purpose serve as documentation of fulfillment of the reserved Collection.

10. PHOTOGRAPHY & PRIVACY

Photographs taken for completion documentation will not automatically be used for public marketing.

Any use of identifiable property photographs for Frisson Trove’s website, portfolio, social media, advertising, or promotional purposes will be governed by separate permission or authorization where required.

Frisson Trove will not intentionally publish access codes, security information, personal documents, or other sensitive property information.

11. OTHER PERSONS AT THE PROPERTY

The Client shall disclose, when known, whether cleaners, movers, contractors, homeowners, pets, or other persons are expected to be present during the placement window.

Frisson Trove is not responsible for delays, disruption, displacement of Collection items, damage, or changes to the finished presentation caused by persons entering or working in the property after placement has begun or after the final quality-assurance review has been completed.

12. FAILURE TO PROVIDE ACCESS

If Frisson Trove cannot enter the property during the agreed placement window because access information is inaccurate, incomplete, unavailable, or not timely provided, Frisson Trove will attempt to contact the Client.

Placement may be rescheduled subject to availability.

Additional travel, labor, contractor, floral, product replacement, or scheduling costs resulting from failed access may be charged to the Client after notice.

13. CANCELLATION

The Client may request cancellation by written notice to Frisson Trove.

Procurement and preparation may begin immediately following confirmation of the reservation. Any refund will, therefore, depend on the timing of the cancellation and the costs already incurred or committed.

Frisson Trove may retain amounts necessary to cover:

  • Products already ordered or purchased;

  • Nonreturnable or personalized items;

  • Fresh botanicals or florals;

  • Vendor or contractor commitments;

  • Shipping or expedited procurement;

  • Custom printing or personalization; and

  • Other nonrecoverable costs directly attributable to the reservation.

Any remaining refundable balance, if applicable, will be communicated to the Client after the cancellation is processed.

Frisson Trove will not retain amounts for costs that have not been incurred or committed.

14. THIRD-PARTY PRODUCTS & AUTHORIZED SERVICE PROVIDERS

Frisson Trove may procure products or services from third-party vendors, florists, printers, couriers, retailers, manufacturers, contractors, or other suppliers.

Frisson Trove may also use trained independent contractors or authorized service providers to perform delivery, placement, styling, photography, quality assurance, or related elements of the service.

All authorized representatives perform within the scope assigned by Frisson Trove and are subject to applicable confidentiality and operating requirements.

Manufacturer warranties, food labeling, allergen information, manufacturer instructions, and similar third-party representations remain the responsibility of the applicable supplier or manufacturer.

15. FOOD, BEVERAGES & AROMATICS

Certain Collections may include packaged food, beverages, chocolates, snacks, or other provisions.

The Client is responsible for communicating any known dietary restrictions or allergen concerns when relevant to a specifically customized provision.

Unless otherwise agreed in writing, Frisson Trove does not guarantee that packaged provisions are free from particular allergens or produced in allergen-free facilities.

Certain Collections may also include reed diffusers, room sprays, or other aromatic products. The Client is responsible for notifying Frisson Trove in advance of any known fragrance sensitivities or property restrictions relating to scented products.

16. PROPERTY CARE & RESPONSIBILITY

Frisson Trove and its authorized representatives will exercise reasonable care while inside the property.

Frisson Trove is not responsible for:

  • Pre-existing damage;

  • Ordinary wear;

  • Latent defects;

  • Manufacturer defects;

  • Damage caused by conditions not reasonably apparent at the time of service; or

  • Damage or changes caused by third parties after placement.

Any concern regarding property damage believed to have occurred during placement should be reported to Frisson Trove promptly after discovery and supported with reasonable documentation.

17. CIRCUMSTANCES BEYOND FRISSON TROVE’S CONTROL

Frisson Trove is not responsible for delay or inability to perform caused by circumstances outside its reasonable control, including:

  • Closing delays;

  • Construction delays;

  • Changes in property access;

  • Severe weather;

  • Road closures;

  • Transportation interruptions;

  • Supplier shortages;

  • Shipping disruptions;

  • Utility interruptions;

  • Governmental restrictions;

  • Emergencies; or

  • Acts or omissions of third parties.

Frisson Trove will communicate with the Client and make reasonable efforts to reschedule or otherwise address an affected placement.

To the fullest extent permitted by applicable law, Frisson Trove will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from the reservation or services.

18. COMMUNICATION & FOLLOW-UP

The Client authorizes Frisson Trove to communicate regarding the reservation using the email address, telephone number, or other contact information supplied by the Client.

Transactional communications may include:

  • Closing-date confirmations;

  • Access requests;

  • Scheduling updates;

  • Payment confirmation;

  • Placement completion; and

  • Service follow-up.

Following completion, Frisson Trove may also invite the Client to provide feedback through a satisfaction survey. Participation is voluntary.

19. ELECTRONIC ACCEPTANCE

The Client agrees to conduct the reservation and service transaction electronically.

By checking the acceptance box, typing or providing an electronic signature where requested, and submitting payment, the Client confirms that the Client has reviewed and agrees to this Agreement.

Electronic acceptance is intended to have the same force and effect as handwritten acceptance to the extent permitted by applicable law.

20. GENERAL TERMS

This Agreement is governed by the laws of the State of Utah, without regard to conflict-of-law principles.

This Agreement, together with the completed reservation, applicable Collection description, approved enhancements, and any written amendments accepted by Frisson Trove and the Client, constitutes the entire agreement concerning the reserved placement.

If a conflict exists between general marketing materials and the transaction-specific reservation, the transaction-specific reservation and this Agreement will control.

Any material change to a confirmed reservation must be agreed to by Frisson Trove.

The version of this Agreement accepted at the time of reservation will govern that reservation unless the parties subsequently agree otherwise in writing.

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

CLIENT ACCEPTANCE

By completing the reservation, the Client confirms that:

  • Reservation information provided is accurate;

  • Client has authority to engage Frisson Trove for the identified property;

  • Client authorizes Frisson Trove and its authorized representatives to access the property for the scheduled placement;

  • Client understands that payment in full reserves the Collection and allows procurement and preparation to begin; and

  • Client has reviewed and agrees to this Frisson Trove Reservation & Service Agreement.
